One Touch Football Terms & Conditions

These Terms and Conditions (the “Terms”) govern the use of OTF Services unless we expressly state otherwise or provide any supplementary terms that amend or update these Terms. If you do not agree with the Terms, please do not use OTF Services.

By using OTF Services, you agree to these and any updated Terms issued from time to time by us. If you are registered as a company, organisation or other legal entity, you represent and warrant to us that you are authorised to bind the entity that you represent to these Terms.

Please read these Terms carefully.

Definitions:
1.1         Additional Features: means any chargeable features introduced to that App from time to time that the User chooses to utilise via subscription, a one-off payment or otherwise under these Terms.

1.2         App:  means the digital social application named One Touch Football provided by OTF to Users.

1.3         Account: means any account made by the User to access the App and Additional Features as a Player, Parent Fan, League or Team.

1.4         Content: means any media material created, uploaded, transmitted or posted through the App or any other OTF Service by the User.

1.5         Fan: means a User who creates an Account under a fan profile to access and utilise the App and any relevant Additional Features.

1.6         League: means a football body consisting of different teams of players that play in recognised leagues and are verified by OTF.

1.7         OTF Service(s): means the App, the One Touch Football website www.onetouchfootball.app, any Additional Features incorporated from time to time or any other service provided by OTF     from time to time and specified to be subject to these Terms.

1.8         OTF or We/Us/Our: means One Touch Football Ltd incorporated in England (reg no. 12799723), whose registered office is at 20-22 Wenlock Road, London N1 7GU.

1.9         Parent: means a User who creates an Account under a parent profile, whereby they upload  Content of a Player who is below the age of thirteen (13) years old.

1.10       Player: means any User who creates an Account under the player profile at any level.

1.11       Team: means any User who creates an Account under a team profile that consists of not less than five (5) players that create a Team Account.

1.12       User/Users or You: means a natural and legal person(s) using OTF Services as a Player, Parent, Fan, Team or League.

About One Touch Football
2.1         OTF is a social media company that provides its Users access to the OTF Services.

2.2         The App allows Users to (i) create, upload, transmit and share Content, (ii) access and communicate via our App network with other Users, (iii) record performance and match statistics, (iv) manage User owned data and (v) access and utilise any other applicable additional Features.

2.3         OTF take a zero-tolerance approach to any harassment, discrimination or any other prohibited use of the App or any OTF Service specified in clause 8. We may terminate your Account (without notice) in accordance with clause 9 for failure to comply with clause 8.

Changes to these terms
3.1         We may need to change, amend or remove any part of these Terms to reflect changes in law or best practice or to deal with Additional Features which we introduce.

3.2         We may update these Terms at any time at our sole discretion. However, if we deem, in our reasonable discretion, any update to our Terms material to a User’s experience of OTF Services, we will make reasonable efforts to give our User’s notice of any change by email or SMS or notifying you of this change when you next start the App.

3.3         If you do not accept the notified changes to these Terms, you will not be permitted to continue to use the App. Continuing to use the App and OTF Services will indicate you have accepted the updated Terms.

User Accounts
4.1         To use the App, you will need to create an Account. You may only create one Account per User, and you must be aged thirteen (13) years or older to use the OTF Service.

4.2         To create an Account, you will need to follow the instructions for registration set out in the App via Get Started>Create Account.

4.3         You shall ensure that User Account credentials are kept confidential and should be used securely to prevent or limit Account misuse and unauthorised access.

4.4         You must immediately inform us if your Account has (or you suspect) that your Account has been accessed by an unauthorised person or if your Account credentials have been accessed by an unauthorised person.

4.5         You must use your Account in accordance with the Terms, and you are responsible for your use of OTF Services. We may remove and delete any Content, in our sole discretion, that does not comply with these Terms or where any Account is inactive for a period of ninety (90)days or longer.

4.6         If you download or stream the App onto any phone or other device, you warrant that you have the owner’s permission. You will be responsible for complying with these terms, whether or not you own the phone or other device.

4.7         If you create a Parent Account, you warrant and represent that you have permission from the legal guardian of any player below the age of thirteen (13) years to upload the Content to the  App.

4.8         You warrant and represent that you have the owner’s permission to upload the Content to the App, and you accept that if any Content infringes another person’s copyright, the Content may be deleted, removed, or altered without notice to you if we reasonably deem that any Content uploaded by you infringes another person’s copyright.

League and Team Accounts
5.1         To use the App as a Team or League, you must accept these Terms on behalf of the League or   Team, and by accepting these Terms, you agree that the League or Team have provided you with authorisation to agree and be bound by these Terms on their behalf.

5.2         League and Teams using OTF Services for commercial purposes, we encourage you to make all reasonable efforts to promote the App to all players, employees and other associated persons to join the App as a User in order to utilise the OTF Service as a League or Team fully.

User Content
6.1         Users shall retain all Intellectual Property Rights prescribed at law in the Content, and OTF  does not expressly or implicitly endorse any Content transmitted through the OTF Services by you.

6.2         By using OTF Services, you grant OTF a worldwide, royalty-free perpetual, irrevocable, non-exclusive, transferrable, and sub-licensable license to copy, adapt, modify, create derivative works from, display or otherwise use the Content.

6.3         We may remove any metadata associated with the Content as part of our licence above. You agree to waive any claims, assertions or objections granted from any moral rights in the Content.

6.4         If you suspect copyright infringement of your Content, you can inform us at talktous@onetouchfootball.app. You must send all details of the suspected copyright infringement for us to assist you.

Intellectual Property
7.1         All Intellectual Property Rights in the App or any OTF Services throughout the world belong to us (or our licensors), and the rights in the App and the OTF Services are licensed (not sold) to you. You have no intellectual property rights in, or to, the App, OTF Services other than the revocable, non-transferable, royalty-free, non-exclusive license granted by us to use the App and other OTF Service subject to adherence to these Terms.

7.2         These Terms do not grant you any Intellectual Property Rights in the OTF Services, and OTF reserves all rights not expressly granted hereunder.

Prohibited Use
8.1         By using OTF Services, you agree that you will not (i) modify, reverse engineer, prepare or make derivative works of OTF Services; (ii) knowingly or negligently use OTF Services in any way to disrupt our network, User Accounts or any OTF Service; (iii) transmit through the App or any OTF Service any harassing, indecent, obscene material including any racist,      homophobic, sexist or any other material we deem inappropriate, (iv) transmit any material that infringes or may infringe third party intellectual property rights; (v) collect data on any other User without their consent; (vi) market or resell any part or whole or OTF Services; (vii) use OTF Services to commit fraud, impersonate any person or entity, or otherwise breach any applicable law or regulation.

Right to Terminate Accounts
9.1         We reserve the right to (i) terminate these Terms and your User Account, (ii) restrict your access to your Account, or (iii) modify, suspend or discontinue OTF Services if you fail to or we suspect any failure by you to comply with these Terms. Without notice to you,

Payment Clause
10.1       You may create an Account free of charge to access the App. You agree to pay all applicable fees for any Additional Features incorporated into the App at any time.

10.2       All applicable methods of payment made by the User for Additional Features are final and non-refundable.

10.3       We reserve the right to update the price for the Additional Features at any time. We will make reasonable efforts to provide you with notice of this change, and these changes will be made under your next billing cycle.

10.4       You are responsible for providing accurate and current billing, contact and payment information to an applicable third party elected to process payment or us.

10.5       You agree that we may charge your selected payment card for all amounts due for the Additional Features, and we may need to charge your payment card to verify its validity.

10.6       You agree that your credit card information and related personal data may be provided to third parties for payment processing and fraud prevention purposes.

10.7       We may, where permitted by applicable law, suspend or terminate your access to the Additional features if at any time we determine that your payment information is inaccurate or not current, and you are responsible for outstanding fees or any overdraft charges incurred by you when we charge your payment card.

Limitation of Liability
11.1       IN NO EVENT SHALL OUR LIABILITY TO YOU EXCEED THE AMOUNT OF THE FEES PAID BY YOU FOR THE OTF SERVICE. SUCH LIABILITY SHALL NOT INCLUDE (I)CONSEQUENTIAL LOSS, INCIDENTAL LOSS, INDIRECT, SPECIAL, PUNITIVE OR OTHER LOSS OR DAMAGE WHATSOEVER OR (II) LOSS OF BUSINESS PROFITS, BUSINESS    INTERRUPTION, ELECTRONIC DEVICE FAILURE, LOSS OF USER INFORMATION OR (III)ANY OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE OTF SERVICES.

11.2       YOU ACCEPT THAT ANY OR ALL OTF SERVICES MAY BE INTERRUPTED, TEMPORARILY OR PERMANENTLY DISCONTINUED WITHOUT NOTICE TO USE, AND WE DO NOT ACCEPT LIABILITY FOR THE LOSS OR CORRUPTION OF USER DATA.

11.3       WE DO NOT EXCLUDE OR LIMIT OUR LIABILITY TO YOU WHERE IT WOULD BE  UNLAWFUL TO DO SO.

Data and Privacy
12.1       We may collect technical data about your device. By using the App or any OTF Service, you agree to us collecting and using technical information about the devices you use on the App and related software, hardware and peripherals to improve our products and to provide any OTF Services to you.

12.2       We may collect location data (but you can turn location services off) from certain services on the App that will make use of location data sent from your devices. You can turn off this functionality at any time by turning off the location services settings for the App on the device. If you use OTF  Services, you consent to us and our affiliates and licensees’ transmission, collection, retention, maintenance, processing and use of your location data and queries to provide and improve location-based and road traffic-based products and services.

12.3       You can stop us from collecting location data at any time by removing our access to your location via the location settings on your device.

12.4       The App or any OTF Service may contain links to other independent websites which are not provided by us. Such independent sites are not under our control, and we are not responsible for and have not checked nor approved their content or their privacy policies (if any). We are not responsible for other websites you link to.

12.5       OTF will request and collect User’s data, including personal data. We will minimise our collection and retention of your data unless the collection is reasonably required for access to the App or Additional Features or if required by law.

12.6       OTF will take all reasonable steps to ensure that your personal data is kept secure at all times, including whilst using OTF Services.

12.7       By using OTF Services, you agree to the collection of your data by us, our affiliates, and our agents. If at any time you do not agree with these Terms or the collection of your data generally, you may delete your Account via settings on the App or by making a request to us via mydata@onetouchfootball.app

12.7       You must ensure that you input accurate data and keep this updated in line with these Terms.

12.8       Please be aware that internet transmissions are never completely private or secure and that any message or information you send using the App or any OTF Service may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

General
13.1       Neither you nor OTF may assign any rights or duties under these Terms either in whole or in part without the other party’s prior consent, which shall not be unreasonably withheld, except that either party may assign the Agreement to an affiliated entity or as part of a corporate reorganisation, consolidation, merger, acquisition, or sale of all or substantially all of its business or assets to which this Agreement relates. Any attempted assignment without consent will be void. The Agreement will bind and inure to the benefit of each party’s successors or assigns.

13.2       Any invalid or unenforceable provision shall not affect the validity or enforceability of any other provision of these Terms. Wherever possible, any invalid or unenforceable provision shall be severed from these Terms.

13.3       Even if we delay in enforcing these Terms, we can still enforce them later. Any failure or delay to exercise any right or remedy that we may have in these Terms or prescribed by law shall not constitute a waiver of such right or remedy

Governing law and jurisdiction.
14.1       These Terms are governed by the laws of England, and all parties submit to the non-exclusive jurisdiction of the courts of England.
